1. Software Overview

1.1 Licensed Software

This Agreement grants you the right to use the Zioan Digital Workspace Platform ("Software"), a comprehensive self-hosted productivity and collaboration platform that includes:

    Spaces Management: Multi-workspace organization with role-based access control
Document Management: Rich text editing with version control and real-time collaboration
Code Snippets Management: Professional code organization with syntax highlighting and Monaco editor
Project Management: Visual Kanban boards with task tracking and automation
Real-time Communication: Integrated chat system with channels, threading, and file sharing
File Management: Universal file storage and sharing with permission controls
User Management: Enterprise-grade identity management and authentication system
Performance Monitoring: System analytics and usage reporting

Software locks automatically if no license is purchased after trial expires

2.3 User Definition

A "User" is any individual who has been granted access credentials to the Software, regardless of frequency of use. The license includes unlimited users and unlimited guest users.

3. Payment and Renewal Terms

3.1 Pricing and Payment

License Purchase: One-time perpetual license payment
Payment Methods: Credit card, PayPal, or bank transfer
Currency: Euro (EUR)
Invoicing: Net 30 days for business customers, immediate for individuals
No Recurring Fees: Initial purchase is one-time, no forced subscriptions

3.2 Annual Maintenance (Optional)

Year 1 Included: First 12 months of updates and support included in license price
Year 2+ Optional: €199/year for continued updates and support

3.3 License Scope

Your license includes unlimited users and unlimited guests. There are no tier upgrades needed — the license covers your entire organization regardless of size.

3.4 Purchase Terms and Refunds

4. Your Rights and Responsibilities

5. Data Ownership and Privacy

Complete Data Ownership: All content, documents, and data created in Zioan belongs entirely to you
No Data Access: Zioan Software Solutions cannot access, read, or use your data in any way
Data Portability: Export your data anytime in standard formats
No Data Lock-in: Full control over your information with complete export capabilities

5.2 Self-Hosted Privacy Protection

Your Infrastructure: All your content and data remains on your servers, never transmitted to us
Complete Data Control: We cannot access, read, or use your data in any way

7. Warranties and Commitments

7.1 Bug Reporting and Resolution Commitment

Your Responsibility: Report any software bugs, errors, or functionality issues with sufficient detail for us to understand and reproduce the problem.

Our Commitment: During your active license period, we commit to:

Acknowledge bug reports within 48 hours
Prioritize resolution based on issue severity
Communicate progress updates on resolution status
Deliver fixes through regular updates or emergency patches
Work diligently to resolve issues within reasonable timeframes

Our Resolution Targets

Critical Issues (software unusable, data at risk): 5 business days
Major Problems (important features non-functional): 15 business days
Minor Issues (small functionality problems): 30 business days
Enhancements (feature improvements): Next major release

7.2 Software Warranty

We warrant that the Software will perform substantially as described in our documentation when used under normal operating conditions.

8. Liability Limitations

8.1 Limitation of Liability

Maximum Liability: Our total liability for any issue related to the Software cannot exceed the license fee you paid.

8.2 Your Responsibilities

You are responsible for:

Proper Installation: Following setup instructions and system requirements
Data Backups: Regular backups of your important data
Hosting Infrastructure: Selecting and maintaining reliable hosting services for your Zioan installation. Service interruptions, outages, or issues resulting from your hosting provider or infrastructure are outside our control and responsibility
Security: Securing your installation and user access
Access Control Validation: Regularly reviewing and confirming that users have appropriate access levels
Compliance: Following applicable laws and regulations

9. License Duration and Renewal

10. Legal Terms

10.1 Agreement Changes

We may update this Agreement with 30 days written notice to your email address. Continued use after changes take effect constitutes acceptance. You may terminate if you disagree with changes.

10.2 Complete Agreement

This Agreement represents the complete terms between us regarding the Software. It supersedes any previous agreements, discussions, or communications about Zioan.

10.3 Severability and Assignment

If any part of this Agreement is found unenforceable, the rest remains valid. You cannot transfer this license without our written consent. We may transfer our rights with 30 days notice.
