Complete terms for your Zioan software license and subscription

1. Software Overview

1.1 Licensed Software

This Agreement grants you the right to use the Zioan Digital Workspace Platform ("Software"), a comprehensive self-hosted productivity and collaboration platform that includes:

    Core Applications
    Spaces Management: Multi-workspace organization with role-based access control
Document Management: Rich text editing with version control and real-time collaboration
Code Snippets Management: Professional code organization with syntax highlighting and Monaco editor
Project Management: Visual Kanban boards with task tracking and automation
Real-time Communication: Integrated chat system with channels, threading, and file sharing
File Management: Universal file storage and sharing with permission controls
User Management: Enterprise-grade identity management and authentication system
Performance Monitoring: System analytics and usage reporting
Guest Access System: Secure external collaboration capabilities for client communication

1.2 Deployment Model

The Software is provided as a self-hosted solution deployed on your own infrastructure using Docker containerization, giving you complete control over your data and environment.

2. Subscription and Pricing

2.2 Trial to Subscription Conversion

All customers begin with a 30-day free trial:

Download and install Zioan with full feature access for 30 days
All trial data is preserved when you subscribe
No reinstallation or data migration required
Seamless transition from trial to subscribed use
Software locks automatically if no subscription is purchased after the trial expires

2.3 User Definition

A "User" is any individual who has been granted access credentials to the Software, regardless of frequency of use. The subscription includes unlimited users and unlimited guest users.

3. Payment and Renewal Terms

3.1 Pricing and Payment

Subscription: €799 per year, excluding VAT, billed annually in advance
Payment Methods: Credit card, PayPal, or bank transfer
Currency: Euro (EUR)
Invoicing: Net 30 days for business customers, immediate for individuals
Renewal: Your subscription does not renew automatically. We remind you before it ends

3.2 What the Subscription Covers

Updates: New versions, new features, and security patches, installed from inside the app
Support: Priority email support
No Automatic Charges: We never automatically charge for renewals
Keep Your Software: If your subscription ends, your installation keeps running with the version you had at that time
Resubscribe Anytime: Subscribe again at any time to receive updates and support, including all versions released in the meantime

3.3 License Scope

Unlimited Usage

Your subscription includes unlimited users and unlimited guests. There are no tiers. One subscription covers your entire organization, whatever its size.

3.4 Purchase Terms and Refunds

Our Approach to Refunds:

We believe our comprehensive 30-day trial provides you with ample opportunity to thoroughly evaluate Zioan and make a confident purchase decision. This trial period includes full access to all features, allowing you to test the software with your actual data and workflows.

Our Refund Philosophy:

While we design our trial period to serve as your primary satisfaction guarantee, we understand that unique circumstances can arise. We're committed to working with our customers and will consider refund requests on a case-by-case basis.

4. Your Rights and Responsibilities

4.1 What You Can Do

Install and use the Software on your own servers or computers
Create unlimited user accounts
Customize and configure for your personal or business use
Use for commercial purposes (business projects, client work)
Create backups and copies for archival purposes
Access all features included in the license
Export your data in standard formats at any time

4.2 What You Cannot Do

Redistribute, sublicense, or sell the Software
Share your license with organizations outside your entity
Attempt to bypass license validation mechanisms
Remove copyright notices or licensing information
Reverse engineer or decompile the Software
Use the Software for illegal activities or malicious purposes

License Enforcement

The software includes license validation to verify your license is active and valid. No user limits are enforced. You can create as many accounts as your server can handle.

5. Data Ownership and Privacy

5.1 Your Data Belongs to You

Complete Data Ownership: All content, documents, and data created in Zioan belongs entirely to you
No Data Access: Zioan Software Solutions cannot access, read, or use your data in any way
Data Portability: Export your data anytime in standard formats
No Data Lock-in: Full control over your information with complete export capabilities

5.2 Self-Hosted Privacy Protection

Your Data Privacy

Your Infrastructure: All your content and data remains on your servers, never transmitted to us
Complete Data Control: We cannot access, read, or use your data in any way
GDPR Compliant: Built-in privacy controls and data protection features

Limited License Communication

The software includes minimal "call home" functionality for essential operations only:

License Validation: Periodic verification of license validity
Update Checking: Notification of available software updates and security patches
Registration Data Only: Communication limited to information provided during registration

What We Never Collect

No host addresses, IP addresses, or network information
No user content, documents, or project data
No usage patterns, activity logs, or behavioral data
No personal information beyond initial registration details

6. Support and Updates

While your subscription is active, you receive:

6.2 If Your Subscription Ends

Your Zioan installation keeps running on your server with the features and version you had when the subscription ended.

What Continues:

Full access to all your data and content
All features of your current version
Complete data export capabilities

Resubscribe Anytime:

Subscribe again at €799 per year to resume updates and support
Catch up on all missed updates when you resubscribe
No penalty for a gap in your subscription

7. Warranties and Commitments

7.1 Bug Reporting and Resolution Commitment

Your Responsibility: Report any software bugs, errors, or functionality issues with sufficient detail for us to understand and reproduce the problem.

Our Commitment: While your subscription is active, we commit to:

Acknowledge bug reports within 24 hours on business days
Prioritize resolution based on issue severity
Communicate progress updates on resolution status
Deliver fixes through regular updates or emergency patches
Work diligently to resolve issues within reasonable timeframes

Our Resolution Targets

Critical Issues (software unusable, data at risk): 5 business days
Major Problems (important features non-functional): 15 business days
Minor Issues (small functionality problems): 30 business days
Enhancements (feature improvements): Next major release

7.2 Software Warranty

We warrant that the Software will perform substantially as described in our documentation when used under normal operating conditions.

8. Liability Limitations

8.1 Limitation of Liability

Maximum Liability: Our total liability for any issue related to the Software cannot exceed the subscription fees you paid in the 12 months before the issue arose.

8.2 Your Responsibilities

You are responsible for:

Proper Installation: Following setup instructions and system requirements
Data Backups: Regular backups of your important data
Hosting Infrastructure: Selecting and maintaining reliable hosting services for your Zioan installation. Service interruptions, outages, or issues resulting from your hosting provider or infrastructure are outside our control and responsibility
Security: Securing your installation and user access
Access Control Validation: Regularly reviewing and confirming that users have appropriate access levels
Compliance: Following applicable laws and regulations

9. Subscription Term and Renewal

9.1 How Your Subscription Works

Term: 12 months from the date of purchase
Price: €799 per year, excluding VAT, for unlimited users and guests
Renewal: Your subscription does not renew automatically. We remind you before it ends
No Automatic Billing: We never automatically charge your payment method

After Your Subscription Ends

Continued Use: Your installation keeps working with the version you had
Data Access: Complete access to everything you've created and stored
Resubscribe Anytime: Subscribe again whenever you want updates and support

9.2 What an Active Subscription Gives You

Priority Email Support: Technical help with any issue
Security Updates: Protection against new vulnerabilities
Bug Fixes: Resolution of problems you report
Major Upgrades: Access to major version releases

10. Legal Terms

10.1 Agreement Changes

We may update this Agreement with 30 days written notice to your email address. Continued use after changes take effect constitutes acceptance. You may terminate if you disagree with changes.

10.2 Complete Agreement

This Agreement represents the complete terms between us regarding the Software. It supersedes any previous agreements, discussions, or communications about Zioan.

10.3 Severability and Assignment

If any part of this Agreement is found unenforceable, the rest remains valid. You cannot transfer this license without our written consent. We may transfer our rights with 30 days notice.

When you decide to subscribe:

Log in to your account under updates.zioan.com
Follow the steps presented to complete your subscription
Allow a few minutes for the purchase to propagate to our system
Go to Update Manager in your Zioan installation and check for updates
Your license will automatically validate
Continue working without any interruption or data loss
